1. Agreement to Terms

By accessing or using the bill splitting service (the "Service") operated by INSightz CommV ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

The Service is a web-based platform that allows users to upload bill images, automatically detect items and prices using AI technology, split bills among multiple participants, and facilitate payment coordination. The Service uses artificial intelligence to process bill images and extract relevant information.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you may need to create an account. You must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

• Provide accurate and truthful information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account
• Not share your account with others

3.3 Age Requirement

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Acceptable Use

4.1 Permitted Use

You may use the Service for its intended purpose: to split bills among multiple participants and coordinate payments.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload false, misleading, or fraudulent bill information
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems (bots, scrapers) to access the Service
• Reverse engineer or attempt to extract source code
• Upload viruses, malware, or other harmful code
• Use the Service to facilitate fraud or money laundering

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of any content you upload to the Service, including bill images. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide the Service to you.

5.2 Our Intellectual Property

The Service, including its software, design, features, and trademarks, is owned by INSightz CommV and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

5.3 AI Processing

By uploading bill images, you acknowledge that we will process them using AI technology to extract items and prices. We do not use your bill images to train AI models. The AI processing is performed by third-party service providers under strict confidentiality agreements.

6. Payments and Fees

6.1 Service Fees

We may charge service fees for certain features. All fees will be clearly displayed before you complete any transaction. Service fees are non-refundable except as required by law.

6.2 Payment Processing

Payment processing is handled by third-party payment processors (Stripe). You agree to their terms and conditions. We are not responsible for any errors or issues with payment processing.

6.3 Inter-User Payments

The Service facilitates coordination of payments between users but does not process inter-user payments. Users are responsible for settling payments directly with each other. We are not liable for any disputes or issues related to payments between users.

7. Accuracy of Information

While we use AI technology to automatically detect bill items and prices, this technology is not perfect. You are responsible for reviewing and verifying all information before sharing bills with participants. We are not liable for any errors or inaccuracies in the AI-detected information.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIGHTZ COMMV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of your data
• Any errors or inaccuracies in the AI-detected bill information
• Any disputes between users regarding bill splits or payments
• Any interruption or cessation of the Service

9.3 Maximum Liability

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless INSightz CommV, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

11. Termination

11.1 By You

You may terminate your account at any time by deleting your account through the Service or contacting us.

11.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

11.3 Effect of Termination

Upon termination, we may delete your data in accordance with our data retention policy. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Belgium.

12.3 Informal Resolution

Before filing any legal claim, you agree to first contact us and attempt to resolve the dispute informally by contacting us at the address provided below.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and INSightz CommV regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
